These Terms of Service (the “Terms”) are a binding agreement between you (“Customer,” “User,” or “you”) and Readiness IQ, LLC (“Readiness IQ” “we,” “us,” or “our”). By accessing or using our websites, applications, training modules, policy templates, checklists, hotline, or any related services (collectively, the “Services”), you agree to these Terms and our Privacy Policy. If you are entering into this Agreement on behalf of a company, you represent that you are authorized to bind that company to these Terms.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. You agree to provide accurate information when creating an Account and to keep your credentials confidential. You are responsible for all activity under your Account and agree to promptly notify Readiness IQ of any unauthorized use.
We may modify, suspend, or discontinue features of the Services. We may also update these Terms. When changes are material, we will post an updated version with a revised effective date. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
You agree to use the Services only for lawful business purposes. You will not attempt to gain unauthorized access, interfere with system integrity, reverse engineer components except as permitted by applicable law, or upload content that is unlawful, harmful, infringing, or otherwise objectionable.
We may suspend or terminate access for violations of this section.
Fees are billed in advance according to your Subscription Plan. Except as required by law or expressly stated in a refund policy, payments are non-refundable. Prices and features may change upon renewal with prior notice. Payments are processed by third-party billing providers under their terms; you authorize us and our providers to charge applicable fees and taxes.
The Services, including software, designs, templates, and documentation, are owned by Readiness IQ and protected by intellectual property laws. Subject to these Terms and your Subscription Plan, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. You retain ownership of your Customer Data.
You are responsible for the accuracy, quality, and legality of Customer Data, and for obtaining all rights necessary to submit or share such data. You grant Readiness IQ a limited license to host, process, and display Customer Data solely to provide and support the Services. We do not claim ownership of Customer Data.
You agree not to submit personal information that is not necessary for the Services and not to include sensitive personal data unless required for an agreed business purpose and protected by applicable law.
Each party may receive non-public information from the other party that is identified as confidential or should reasonably be understood to be confidential. Each party will protect the other’s confidential information with at least the same degree of care used to protect its own and will use it only to perform its obligations under these Terms.
We process personal data in accordance with our Privacy Policy.
We aim to provide reliable access to the platform. Planned maintenance or upgrades may occasionally result in limited availability, and reasonable efforts will be made to minimize disruption. Support inquiries can be submitted through our contact page.
Either party may terminate these Terms by closing the Account or by written notice. We may suspend or terminate access for material breach, nonpayment, or misuse. Upon termination, your right to use the Services ceases immediately. We may retain Customer Data as required by law or to resolve disputes, after which it will be deleted or anonymized per our retention practices.
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Readiness IQ disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, or error-free.
To the fullest extent permitted by law, Readiness IQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for all claims under these Terms will not exceed the amounts paid by you for the Services during the twelve months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Readiness IQ and our officers, employees, and agents from and against any claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your infringement of any third-party right.
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Kansas, USA for any dispute arising out of or relating to these Terms or the Services.
You will comply with all applicable export control and trade laws and will not export, re-export, or transfer the Services in violation of such laws.
These Terms, together with any plan-specific agreement and our Privacy Policy, constitute the entire agreement between you and Readiness IQ regarding the Services and supersede all prior or contemporaneous agreements on the subject matter.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
